Company means Kettle Seed, operated by Foshan Chancheng District Hu Zi Information Technology Co., Ltd., at Room 502, No. 37 Liuyuan Road, Shiwan Town Street, Chancheng District, Foshan City, Guangdong Province, 528000, China. Services are computer systems design, integration, engineering, and consulting. Website is kettleseed.buzz. You means the individual or entity using our Website or Services.

Kettle Seed provides professional computer systems design and engineering services within the Computer Systems Design and Related Services sector. Our specific offerings include systems architecture, embedded and firmware engineering, integration and middleware, cloud infrastructure, security architecture, and technical advisory. The exact scope, deliverables, timeline, and fees for any project will be spelled out in a separate written agreement that we both sign. Those specific agreements work together with these general Terms. If there is a conflict between these Terms and your signed agreement, the signed agreement wins for that particular project.

Everything we create for you, including designs, code, documentation, and deliverables, is our intellectual property unless we agree otherwise in writing. Once you have paid us in full, you get a license to use the deliverables we created specifically for you. This license is for your internal business purposes only and does not transfer ownership of the underlying intellectual property. Our company name, logo, and brand elements are our trademarks and cannot be used without our written permission.

Separately, if you provide us with any materials, data, or intellectual property to use in delivering our services, you grant us a license to use those materials for that purpose. Your materials remain your property.

When using our website or working with us, you agree to: provide accurate and complete information when we need it; use our website and services only for lawful purposes; not do anything that could damage, overload, or compromise our systems or networks; not try to access any part of our systems or data without authorization; and not use bots, scrapers, or other automated tools to access our website without our permission. If you are engaging our services, you also agree to provide timely access to the information, resources, and personnel we need to do our work.

Both sides agree to keep confidential any non-public information shared during our work together. This includes business plans, technical specifications, source code, financial data, trade secrets, and proprietary methods. This duty of confidentiality continues for five years after our relationship ends. Confidential information does not include: information that becomes public through no fault of either side; information either side already had before it was disclosed; information either side develops independently without using the other side's confidential information; or information received from a third party who is lawfully in possession of it and not bound by confidentiality.

To the fullest extent permitted by law, Kettle Seed and its people will not be liable for any indirect, incidental, special, or consequential damages related to your use of our website or services. This includes lost profits, lost data, lost business opportunities, and the cost of getting replacement services. Our total liability for any claim is limited to the amount you actually paid us for the specific service that gave rise to the claim, or one hundred US dollars (whichever is less). Nothing here limits or excludes liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

These Terms are governed by the laws of the People's Republic of China. If a dispute arises, we first agree to try to resolve it through good-faith negotiation. If we cannot resolve it within sixty days, both sides agree to the jurisdiction of the courts in Foshan, Guangdong, China. If any part of these Terms is found to be unenforceable, the rest of the Terms remain in effect. These Terms together with any signed service agreements represent the complete agreement between us. Our failure to enforce any right does not mean we waive that right.
